论设立中公司的责任承担
摘 要：公司设立的基础是发起人实施设立行为，赋予该行为产生结果法律意义，即是设立中公司的责任承担。分析设立中公司的责任归属，首先应明确设立中公司的性质、权利能力及行为能力，梳理设立中公司责任主体之间的关系，按发起人实施的行为的类型进行分类，再依据行为性质及责任主体的属性，分别归结于不同的责任主体上。通说认为设立中公司是无权利能力社团组织，不具有权利能力和行为能力，不具有责任承担资格。通说将全部责任归属于发起人及成立后的公司。因而具有不合理性，束缚了公司的发展。与公司有关的一切法律制度均应围绕如何促进公司的良好发展而展开，为促进公司的发展必须重新确定设立中公司的性质及责任归属。

公司从开始设立到具有完全的法人地位持续时间较长。设立中公司是指各个自然人聚合到一起，以设立公司为目标而进行一系列的准备活动所形成的团体。公司设立过程中，从各自然人形成合意签署发起人协议到领取营业执照，常常会持续一段时间，而在这段时间里，就会与第三人发生一系列的交易行为，如，租赁厂房、购买设备、聘请公司职员等。所产生的一切行为结果均应该有明确的责任承担方式。而现行法律中规定的责任承担方式是不明确的，主要表现为《公司法》没有明确划分责任归属，《公司法解释三》用两个条文简单规定了侵权责任和合同责任的承担，在未有法律规定设立中公司具有诉讼资格的情况下，最高人民法院做出以设立中公司为被告的判决。现行制度的不明确性妨碍公司合理的责任分配，制约公司的发展。因而，如何确立合理的责任分配是促进公司发展的关键。分析设立中公司责任的确立过程以形成对司法实践中涉及其责任承担问题的解决思路，从而维护各权利主体之间利益的平衡，促进公司法律制度的完善及公司的发展。

公司制度的完善是一个漫长的过程。设立中公司责任承担制度只是公司制度中一个很小的部分，笔者以设立中公司为对象，仅就公司设立过程中的责任研究。展开设立中公司的概念、成立时间、权利、行为范围及法律地位的探讨，存在诸多不足。但可以肯定的是，对设立中公司责任承担制度展开研究是有必要的，合理的责任承担制度能促进公司发展。设立中公司责任承担的核心是确立设立中公司具有独立的主体地位，具有权利、行为能力，以其独立财产承担责任。构建以发起人、设立中公司、成立后公司为主体的责任承担模式。
